1. Eligibility

The Groove in Gotham FC Sweepstakes: Mt. Joy VIP Experience at Madison Square Garden (the "Promotion") is open only to legal residents of the fifty (50) United States and the District of Columbia, excluding Tennessee and Rhode Island, who are eighteen (18) years of age or older at the time of entry (each, an "Eligible Entrant"). To be eligible to win, an Eligible Entrant must be able to attend the Mt. Joy concert scheduled for September 17, 2026, at Madison Square Garden in New York, New York (the "Event"). The Winner's guest must also be eighteen (18) years of age or older as of the Event date.

Employees, officers, and directors of NJ/NY Gotham Football Club LLC (the "Sponsor"), Mt. Joy LLC (the "Prize Provider"), the National Women's Soccer League, and each of their respective parents, subsidiaries, affiliates, members, teams, advertising and promotion agencies, representatives, agents, successors, and assigns, as well as the immediate family members (spouse, domestic partner, parent, child, or sibling, whether biological, foster, adoptive, or step, and their respective spouses or domestic partners) and household members, whether or not related, of each such person, are not eligible to enter or win. Sponsor, Prize Provider, and the other entities described in this paragraph are collectively referred to as the "Promotion Entities."

The Promotion is subject to all applicable federal, state, and local laws, rules, and regulations. Void where prohibited or restricted by law. Participation constitutes an entrant's full and unconditional agreement to these Official Sweepstakes Rules (the "Official Rules") and Sponsor's decisions, which are final and binding in all matters relating to the Promotion. Winning is contingent upon satisfying all requirements stated in these Official Rules.

2. Promotion Period

The Promotion begins on Tuesday, September 9, 2026, at 12:00 p.m. Eastern Time and ends on Monday, September 14, 2026, at 12:00 p.m. Eastern Time (the "Promotion Period"). Sponsor's computer is the official timekeeping device for online entries. All online entries and mail-in entries must be received by Sponsor before the Promotion Period ends.

3. How to Enter

There are two (2) ways to enter:

a. Online Entry. During the Promotion Period, visit [TBD: SWEEPSTAKES WEBPAGE URL] and follow the instructions to submit a complete entry form. The form will request the entrant's first and last name, email address, state of residence or ZIP code, confirmation of age and eligibility, the entrant's requested jersey size, and the requested jersey size for the entrant's prospective guest. A completed eligible submission will receive one (1) entry.

b. Mail-In Entry. During the Promotion Period, hand-print the entrant's first and last name, email address, complete mailing address, state of residence, confirmation that the entrant is at least eighteen (18) years old, requested jersey size, and requested guest jersey size on a plain piece of paper or card and mail it in a hand-addressed envelope with sufficient postage to: "Groove in Gotham FC Sweepstakes," NJ/NY Gotham Football Club LLC, 15 Exchange Place, Suite 1010, Jersey City, NJ 07302. A completed eligible mail-in submission received by Sponsor before the Promotion Period ends will receive one (1) entry. Mail-in entrants will not be subscribed to marketing communications unless they separately provide affirmative consent through an authorized subscription method.

Limit one (1) entry per Eligible Entrant and per email address during the Promotion Period, regardless of entry method. An entrant may use only one entry method. Multiple, duplicate, incomplete, mechanically reproduced, automated, bulk, postage-due, or otherwise noncompliant entries are void. No other method of entry will be accepted.

In the event of a dispute regarding an online entry, the entry will be deemed submitted by the natural person who is the authorized account holder of the email address used to enter. A Potential Winner may be required to provide reasonable proof of identity, age, residency, and control of the applicable email account. It is each entrant's responsibility to keep the contact information provided to Sponsor current.

4. Winner Selection and Odds

On September 14, 2026, after the Promotion Period ends, Sponsor will randomly select one (1) entry from among all eligible entries received (the "Potential Winner"). The odds of winning depend on the number of eligible entries received. If the Potential Winner is ineligible, cannot attend the Event, cannot be contacted, does not timely respond, declines the Prize, or otherwise fails to comply with these Official Rules, the Potential Winner will be disqualified and Sponsor may randomly select an alternate from the remaining eligible entries. Due to the time-sensitive nature of the Prize, Sponsor may continue this process only while sufficient time remains to verify a Winner and deliver the Event tickets. If no entrant can be timely verified, the Prize may go unawarded.

5. Winner Notification and Verification

Sponsor will attempt to notify the Potential Winner by email on September 14, 2026. The Potential Winner must respond to Sponsor within twenty-four (24) hours after Sponsor sends the notification and must promptly provide any information reasonably requested to verify eligibility and deliver the Prize. If the Potential Winner does not respond within that period, Sponsor may disqualify the Potential Winner and select an alternate. A Potential Winner becomes the "Winner" only after Sponsor confirms eligibility and compliance with these Official Rules. Sponsor reserves the right to select an alternate if, at any time before the Prize is fully awarded, a Potential Winner or Winner is found not to have complied with these Official Rules.

6. Prize Description; Approximate Retail Value; Prize Terms

One (1) Winner will receive one (1) prize package (the "Prize") consisting of: (i) two (2) tickets to the Mt. Joy concert scheduled for September 17, 2026, at Madison Square Garden, with a combined face value of four hundred dollars ($400.00); (ii) access for the Winner and one (1) guest to a pre-show meet and greet with Mt. Joy and a pre-show question-and-answer session, which have no separate retail value; (iii) two (2) Mt. Joy jerseys, each with an approximate retail value of seventy dollars ($70.00), for a combined value of one hundred forty dollars ($140.00); and (iv) two (2) Gotham FC 2026 Lady Liberty Kits, each with an approximate retail value of one hundred twenty dollars ($120.00), for a combined value of two hundred forty dollars ($240.00). The total approximate retail value ("ARV") of the Prize is seven hundred eighty dollars ($780.00).

Sponsor will electronically transfer the Event tickets to the Winner no later than Wednesday, September 16, 2026, using the contact information provided by the Winner. Prize Provider will separately ship the two (2) Mt. Joy jerseys, and Sponsor will separately ship the two (2) Gotham FC kits, to the mailing address confirmed by the Winner. Merchandise delivery timing may vary and is not guaranteed to occur before the Event.

The Winner and guest must attend the Event together, must each be at least eighteen (18) years old, and are responsible for complying with all ticket, venue, security, identification, conduct, and admission requirements applicable to the Event. The Winner is responsible for the conduct of the guest. Tickets are valid only for the applicable Event or any rescheduled date for which they are honored by the applicable ticket issuer or venue.

The Prize is non-transferable and non-assignable, and no cash redemption is permitted, except at Sponsor's sole discretion. Sponsor and Prize Provider reserve the right to substitute any merchandise portion of the Prize with an item of comparable or greater value if the advertised item is unavailable. Jersey sizes are subject to availability. The actual value of the Prize may vary, and no difference between the stated ARV and actual value will be awarded.

The Event, artist lineup, venue, schedule, seating, meet and greet, question-and-answer session, and all other Event or VIP details are subject to change, postponement, cancellation, availability, and restrictions imposed by the artist, venue, ticket issuer, or other applicable party. If the Event or any Prize component is delayed, modified, unavailable, shortened, postponed, or canceled for any reason, the remaining available Prize components, if any, may be awarded without substitution or additional compensation. Sponsor and Prize Provider are not responsible for any such change, postponement, unavailability, or cancellation.

Except for the items expressly identified as part of the Prize, all costs and expenses associated with accepting or using the Prize are solely the responsibility of the Winner and guest, including, without limitation, federal, state, and local taxes; travel; lodging; transportation; parking; food and beverages; souvenirs; gratuities; wireless or data charges; and incidental or personal expenses. The Winner is responsible for any tax reporting or payment obligations arising from receipt of the Prize.

7. Privacy; Marketing Consent; Data Sharing

Personal information submitted in connection with the Promotion will be collected by Sponsor and used to administer, verify, analyze, and fulfill the Promotion; communicate with entrants and the Winner; comply with legal obligations; and for other purposes disclosed at the point of collection or described in Sponsor's Privacy Policy, available at https://www.gothamfc.com/privacy-policy.

After the Promotion concludes, Sponsor intends to share entrant submission data with Prize Provider. By entering, each entrant acknowledges and agrees that the information submitted in connection with the Promotion may be disclosed to Prize Provider for Promotion administration, reporting, analytics, and prize-fulfillment purposes. Prize Provider's collection, use, maintenance, and disclosure of personal information is subject to its own privacy practices and privacy policy, available at https://www.mtjoyband.com/privacy. Sponsor is not responsible for Prize Provider's privacy practices.

Entrants may unsubscribe from Sponsor's and/or Prize Provider's marketing communications at any time using the instructions in the applicable communication. Unsubscribing after an entry has been submitted will not invalidate an otherwise eligible entry or affect the entrant's odds of winning. Entrants may still receive non-marketing communications necessary to administer the Promotion or fulfill the Prize.

8. Release; Assumption of Risk; Winner Publicity

By participating, each entrant agrees, to the fullest extent permitted by law, to release and hold harmless the Promotion Entities, Madison Square Garden and its owners and operators, the applicable ticketing provider, Instagram, X, and each of their respective parents, subsidiaries, affiliates, officers, directors, employees, representatives, agents, successors, and assigns (collectively, the "Released Parties") from and against any claim, injury, damage, loss, liability, cost, or expense arising directly or indirectly from participation in the Promotion or the acceptance, possession, use, misuse, loss, or inability to use the Prize, including attendance at or travel to or from the Event.

Except where prohibited by law, acceptance of the Prize constitutes the Winner's permission for Sponsor and Prize Provider to use the Winner's name, city and state of residence, photograph, voice, likeness, statements, and Prize information for advertising, publicity, and promotional purposes in any media now known or later developed, worldwide, without further notice, permission, review, or compensation.

9. General Conditions

Sponsor's failure to enforce any provision of these Official Rules will not constitute a waiver of that provision. The Released Parties make no warranty, guaranty, or representation of any kind concerning the Promotion or Prize and, to the fullest extent permitted by law, disclaim all express and implied warranties, including warranties of merchantability, quality, and fitness for a particular purpose.

The Released Parties are not responsible for entries or communications that are late, lost, stolen, incomplete, illegible, inaccurate, damaged, delayed, misdirected, undelivered, postage-due, corrupted, or otherwise defective; for unavailable or interrupted networks, servers, websites, platforms, or connections; for failed, delayed, or misdirected transmissions; for hardware, software, programming, human, typographical, printing, or other errors; or for unauthorized intervention in the Promotion. Entries generated by script, macro, bot, automation, or any method that subverts the entry process are void.

Sponsor may disqualify any person it determines, in its sole reasonable discretion, has tampered with the entry or selection process; attempted to undermine the legitimate operation of the Promotion; provided false or inaccurate information; acted disruptively, abusively, threateningly, or unlawfully; or violated these Official Rules. Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law.

If fraud, technical failure, force majeure, public-health concern, security issue, Event change, or any other cause beyond Sponsor's reasonable control impairs the integrity, administration, security, fairness, or proper operation of the Promotion, Sponsor may cancel, suspend, modify, or terminate the Promotion and, if feasible, select a Winner from eligible entries received before the action or through another procedure Sponsor determines to be fair and appropriate. Sponsor may also modify these Official Rules to clarify their terms without materially changing the Promotion.

10. Indemnity; Limitation of Liability; Disputes

By participating, each entrant agrees, to the fullest extent permitted by law, to indemnify and hold harmless the Released Parties from liability arising out of or relating to the entrant's participation in the Promotion or the entrant's or guest's acceptance or use of the Prize.

Except where prohibited by law, each entrant agrees that: (a) all disputes, claims, and causes of action arising out of or connected with the Promotion or Prize will be resolved individually, without resort to any form of class action, exclusively in the state or federal courts located in Essex County, New Jersey; (b) all claims, judgments, and awards will be limited to actual out-of-pocket costs incurred, excluding attorneys' fees; and (c) under no circumstances may an entrant obtain, and each entrant waives all rights to claim, indirect, punitive, incidental, special, or consequential damages or any damages other than actual out-of-pocket expenses, or to have damages multiplied or otherwise increased.

All issues concerning the construction, validity, interpretation, and enforceability of these Official Rules, and the rights and obligations of entrants and Sponsor in connection with the Promotion, will be governed by the laws of the State of New Jersey, without giving effect to any choice-of-law or conflict-of-law rule that would cause the application of another jurisdiction's laws. Each entrant irrevocably consents to the personal jurisdiction of the courts described above and waives any objection based on forum non conveniens or lack of personal jurisdiction. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.

11. Winner List

To request the Winner's name, mail a self-addressed, stamped envelope to: "Winner List - Groove in Gotham FC Sweepstakes," NJ/NY Gotham Football Club LLC,15 Exchange Place, Suite 1010, Jersey City, NJ 07302. Requests must be received no later than October 14, 2026.

12. Sponsor and Prize Provider

Sponsor: NJ/NY Gotham Football Club LLC, 15 Exchange Place, Suite 1010, Jersey City, NJ 07302.

Prize Provider: Mt. Joy LLC, a [TBD: STATE OF FORMATION] limited liability company, [TBD: MT. JOY BUSINESS ADDRESS].

13. Social Media and Third-Party Disclaimer

The Promotion is in no way sponsored, endorsed, administered by, or associated with Instagram or X. Madison Square Garden, the venue owner or operator, and the applicable ticketing provider are not sponsors or administrators of the Promotion. Any names, trademarks, logos, or other intellectual property of third parties are used solely to identify the Prize and remain the property of their respective owners.
